These Terms govern use of the Foodex Digital website, public content and forms, and initial interactions with our services. Specific projects are governed by the written terms agreed for that engagement.
Acceptance and Scope
By accessing or using the Foodex Digital website, submitting a public form, or using an interaction expressly covered by these Terms, you agree to these Terms and the applicable Foodex privacy and policy notices. These Terms govern use of the Foodex Digital website, public content, forms, and initial interactions. They do not by themselves govern the full delivery of a client project. Specific projects may be subject to a proposal, statement of work, contract, purchase order, or other written agreement. If you do not agree with these Terms, you should not use the website or submit information through forms covered by them.
Website Purpose
The Foodex Digital website provides general information about our capabilities, work, approach, knowledge resources, and ways to contact or engage with us. Website content does not by itself constitute a binding commercial offer or a guarantee that a particular service, resource, timeline, price, team, capability, or project will be available. Unless expressly agreed otherwise, general website content should not be treated as legal, financial, regulatory, investment, or project-specific professional advice. Examples, case studies, insights, portfolio materials, estimated outcomes, and other public information should be considered in their relevant context and do not guarantee that another project will achieve the same result. Third-party websites or resources linked from Foodex Digital may be subject to their own terms and privacy practices.
Forms and Project Requests
Submitting a form, inquiry, or project request is an initial step. It does not by itself: create a contract; guarantee acceptance of a project; confirm pricing, availability, or timing; require Foodex Digital to provide a proposal; create exclusivity or any other formal commercial relationship. The scope, deliverables, timeline, responsibilities, fees, payment terms, and other commercial conditions of a project become binding only when appropriately agreed. Public forms should not be used to submit highly confidential or sensitive business information unless an appropriate protected channel or confidentiality framework has been established.
Acceptable Use
You must use the Foodex Digital website, forms, content, and public communication channels lawfully and responsibly. You must not: use the website for unlawful, fraudulent, misleading, abusive, or harmful purposes; misrepresent your identity, organization, authority, or relationship with Foodex Digital or Foodex Ecosystem; attempt to bypass security controls, probe vulnerabilities, interfere with systems, or introduce malicious code; use automated methods to access, scrape, extract, or place unreasonable load on Foodex systems except where expressly authorized or permitted by applicable law; submit information or materials that you do not have the right or authority to provide; infringe intellectual property, privacy, confidentiality, contractual, or other legal rights; use Foodex names, brands, work, or content in a way that falsely suggests endorsement, authorization, partnership, or affiliation. Foodex Digital may take reasonable action to protect its websites, systems, users, content, and rights where misuse or security risks are identified.
Intellectual Property
Unless otherwise stated, the Foodex Digital website, brand identity, text, designs, graphics, portfolio materials, frameworks, methods, templates, software elements, and other website materials are owned by, licensed to, or used with permission by Foodex or the relevant rights holder. Access to the website does not transfer ownership of intellectual property or grant a general license to commercially reuse Foodex Digital materials. You may view publicly available content for legitimate personal or internal business purposes and share it through its intended public links. You must not reproduce, modify, republish, sell, commercially exploit, create unauthorized derivative materials from, or represent Foodex Digital content as your own without appropriate permission. Use of Foodex trademarks, logos, brand assets, proprietary methods, or protected materials requires appropriate authorization.
Client-Provided Assets
Where you provide Foodex Digital with logos, trademarks, photographs, videos, text, data, product information, packaging files, fonts, music, software, reference materials, customer information, or other project assets, you are responsible for ensuring that you have the rights, permissions, authority, or other lawful basis required to provide and use those materials for the project. Foodex Digital may rely on information and materials supplied by the client unless the project scope specifically requires independent verification. Where an asset is subject to restrictions, confidentiality requirements, attribution requirements, licenses, or other conditions, those conditions should be disclosed before the asset is used. Foodex Digital may decline to use materials where there is a reasonable concern regarding rights, legality, security, authenticity, or suitability.
AI and Third-Party Tools
Foodex Digital may use artificial intelligence, automation, analytical tools, software platforms, cloud services, production tools, and other third-party technologies to support research, analysis, ideation, content development, design, workflow management, and project execution. The tools used may vary according to the project. Foodex Digital aims to maintain appropriate professional judgment and oversight when such tools contribute to project work. AI-enabled or automated outputs may contain limitations, errors, uncertainty, or third-party dependencies and should not automatically be treated as final professional conclusions without appropriate review. Where use of a particular technology may materially affect confidentiality, intellectual property, licensing, security, data processing, or another important project condition, the relevant requirements may be addressed in the project agreement or an appropriate additional arrangement. Third-party tools and licensed services may also be subject to their own terms, technical limitations, availability, and licensing conditions.
Project Agreements
Specific projects may be governed by a proposal, statement of work, contract, purchase order, project brief accepted in writing, or another formal agreement. These documents may address matters such as: scope and deliverables; project stages and timelines; responsibilities and dependencies; fees, taxes, expenses, and payment; review and approval processes; change requests; confidentiality; intellectual property; licensed or third-party assets; specialist suppliers; technology and AI tools; termination or suspension; liability and other project-specific conditions. Where a written project agreement applies, it takes precedence over these Website Terms for the matters it specifically covers. No general statement on the website changes the terms of a separately agreed project unless that change is formally accepted by the relevant parties.
Deliverables and Licenses
Ownership and usage rights relating to project deliverables are determined by the applicable project agreement. Depending on the project, deliverables may include original work created by Foodex Digital as well as third-party or pre-existing elements such as fonts, photographs, video, music, stock assets, software, plugins, templates, code libraries, datasets, platforms, or other licensed materials. Third-party materials remain subject to the rights and licensing conditions of the relevant rights holder. A project agreement should clarify, where relevant: which deliverables or rights transfer to the client; when any transfer or license becomes effective; which pre-existing Foodex materials remain protected; which third-party licenses continue to apply; any restrictions on modification, redistribution, resale, sublicensing, or other uses. Nothing on the public website should be interpreted as automatically transferring ownership of project deliverables or third-party rights.
Disclaimers and Results
Foodex Digital aims to deliver professional work aligned with the agreed scope and project objectives. However, marketing, branding, digital, content, technology, creative, and campaign outcomes are influenced by factors that may be outside Foodex Digital’s control. Unless expressly guaranteed in a written agreement, Foodex Digital does not guarantee: a specific level of sales, revenue, profit, or return on investment; a particular number of leads, customers, users, or conversions; a specific search-engine position or continued ranking; a particular level of reach, engagement, traffic, or campaign performance; approval by a retailer, distributor, regulator, platform, marketplace, printer, production supplier, or other third party; the commercial success of a brand, product, market entry, campaign, website, or other initiative. Forecasts, recommendations, strategic assumptions, research, analytics, and performance estimates are inherently dependent on the information, evidence, market conditions, and assumptions available at the relevant time. To the extent permitted by applicable law, Foodex Digital is not responsible for losses resulting solely from reliance on general website information, misuse of the website, third-party services, or circumstances outside the agreed scope of a project. Nothing in these Terms excludes, restricts, or modifies any right or responsibility that cannot lawfully be excluded, restricted, or modified.
Foodex Ecosystem Policies
Foodex Digital operates within the broader trust and policy framework of Foodex Ecosystem. Ecosystem-wide policies may apply to areas such as: privacy and personal information; website use; confidentiality and public submissions; other shared trust and governance matters. These policies are available through the Foodex Ecosystem Policy Hub. Where Foodex Digital provides a more specific notice addressing a particular matter, it should be read together with the relevant ecosystem-wide policy. A formal written project agreement takes precedence for matters it specifically governs.
Changes
Foodex Digital may update these Terms as its website, services, technologies, operating practices, or legal requirements evolve. The current version and effective date will be displayed on this page. Changes to these Website Terms do not automatically amend a separately signed or otherwise formally agreed project agreement. Where a material change requires additional notice under applicable law, further notice may be provided where appropriate. Foodex Digital may also modify, suspend, develop, or discontinue website features, content, or public resources over time without this creating an obligation to maintain every feature indefinitely.
